Agreement to Terms

These Terms of Service constitute a legally binding agreement between you (the "Dealership" or "you") and Masna ("we," "us," or "our") concerning your access to and use of our AI-powered customer engagement platform for car dealerships. By creating an account and using our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must discontinue use immediately and may not access our platform.

Privacy and Data Protection

We are committed to protecting your privacy and the confidentiality of your dealership and customer data. Masna collects and processes only the minimum information necessary to provide our AI assistant services, including dealership information, customer conversation data, and contact details for lead management. We do not sell or share your customer data with third parties except as necessary to provide our services (AI processing, hosting) or as required by law.

Website Integration and Chat Widget

Installation Agreement: You agree to install our chat widget on your dealership website by adding the provided JavaScript code snippet. The widget is designed to integrate seamlessly with your existing website without interfering with its functionality or appearance.

AI Conversation Features: Once activated, our AI assistant chat widget will appear on your website and engage with visitors in real-time. The AI will answer questions about your inventory, qualify leads, schedule test drives, and collect customer contact information. You acknowledge that the chat widget operates as an overlay on your website and is powered by Masna's AI technology.

Data Collection: Our chat widget collects visitor interaction data, conversation logs, and customer contact information (name, email, phone number) solely for the purpose of lead management and customer engagement. The widget does not access your internal dealership management systems, inventory databases, or financial information without explicit integration authorization.

Account Security and Dashboard Requirements

Dashboard Access: Your dealership dashboard provides access to conversation logs, lead analytics, AI configuration, and integration settings. You must maintain secure login credentials and are responsible for all activities that occur under your account.

Security Responsibility: You must ensure that your dashboard access credentials remain confidential and are not shared with unauthorized individuals. Failure to maintain proper account security may result in unauthorized access to customer data and dealership information, for which you accept full responsibility.

Two-Factor Authentication: Our platform provides two-factor authentication (2FA) for enhanced security. You are strongly encouraged to enable 2FA to protect your account from unauthorized access and to ensure the confidentiality of customer conversations and lead data.

Service Description

Masna provides an AI-powered customer engagement platform specifically designed for car dealerships. Our services include:

  • AI Chat Assistant: 24/7 conversational AI that engages website visitors, answers questions about vehicles, and qualifies leads
  • Lead Management: Automatic lead capture, qualification scoring, and routing to your sales team
  • Appointment Scheduling: AI-powered test drive and consultation scheduling with calendar integration
  • Analytics Dashboard: Detailed insights into conversation metrics, lead quality, and conversion rates
  • CRM Integration: Optional integration with your existing CRM and inventory management systems

All AI processing is powered by advanced language models (Claude, OpenAI GPT) with strict confidentiality agreements. Customer conversation data is used solely for providing services to your dealership and improving AI performance, never for training third-party models or marketing purposes.

Dealership Ownership and Authorization

By creating a Masna account and registering your dealership, you represent and warrant that you are an authorized representative of the dealership with the legal authority to enter into this agreement on behalf of the business. You confirm that you have the right to integrate our AI assistant on your dealership's website and to manage customer conversations and lead data through our platform.

If we receive credible evidence that a Masna account was created without proper authorization or that account ownership is disputed, we reserve the right to suspend the account pending verification of proper authority. We may request documentation proving your authorization to represent the dealership and manage its customer engagement systems.

Multiple users from the same dealership may not create separate accounts. Each dealership location should have one primary account, with additional team members added through the user management feature. If you discover an unauthorized account using your dealership's information, please contact us immediately at support@masna.ai.

Website Integration and Data Security

Installing the Masna chat widget on your website is designed to be safe and secure. Our widget operates as an independent overlay and does not access, modify, or interfere with your website's core functionality, backend systems, or sensitive data. The widget only collects information that visitors voluntarily provide through chat conversations.

The chat widget code snippet provided to you is unique to your dealership account and includes security tokens to ensure that conversation data is properly associated with your account. This prevents unauthorized third parties from intercepting or accessing your customer conversations.

If you choose to integrate with your CRM, inventory management system, or calendar tools, these integrations are established through secure API connections that require explicit authorization and use industry-standard OAuth protocols. You maintain full control over which systems are connected and can revoke access at any time through your dashboard.

Our widget uses HTTPS encryption for all data transmission and complies with modern web security standards. We regularly update our code to address any security vulnerabilities and follow best practices for web application security.

Third-Party Services and AI Providers

Our platform integrates with carefully selected third-party services to deliver our AI assistant functionality:

  • AI Processing: Claude (Anthropic) and OpenAI GPT for natural language understanding and conversation generation
  • Payment Processing: Stripe for secure billing and subscription management
  • Cloud Infrastructure: Enterprise cloud hosting providers (AWS, Google Cloud) for secure data storage
  • Analytics: Hotjar for user experience monitoring (dealership dashboard only, not customer conversations)

While we partner with reputable service providers who maintain high security standards, we are not responsible for the availability, performance, or security practices of these third-party services beyond our reasonable control. Each service provider is bound by confidentiality agreements and prohibited from using your data for purposes other than providing services to Masna.

Account Registration and Verification

To use Masna services, you must create an account by providing your dealership name, your name, a valid email address, and phone number. You must be at least 18 years old and have legal authority to enter into this agreement on behalf of your dealership.

You are responsible for maintaining the security and confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized access or security breaches. We reserve the right to verify your identity and dealership information before activating certain features or integrations.

Team Management and User Access

The Masna platform allows dealership account owners ("Primary Account Holder") to invite additional team members ("Team Users") to access the dashboard and manage conversations. When adding a team member, you must provide their valid email address. An invitation will be sent, and upon acceptance, the team member will gain access to conversation logs, lead data, and AI configuration settings according to the permissions you assign.

The Primary Account Holder is responsible for managing team access and ensuring that only authorized dealership personnel have dashboard access. You can modify permissions or remove team members at any time through your dashboard settings.

All activity by team members is associated with your dealership account. You are responsible for the actions of all users you authorize, including any changes to AI configuration, customer data access, or integration settings.

Team members who leave your dealership or no longer require access should be immediately removed from your account to maintain security and data confidentiality.

Acceptable Use Policy

You agree to use Masna services only for legitimate automotive sales and customer engagement purposes. Prohibited uses include:

  • Illegal activities or fraudulent business practices
  • Harassment, discrimination, or abusive communication with customers
  • Unauthorized access to other dealerships' accounts or data
  • Spam, unsolicited marketing, or robocalls to customers who have not opted in
  • System abuse, including attempts to reverse engineer, hack, or compromise our platform
  • Impersonating another dealership or business entity
  • Using the service to collect customer data for purposes unrelated to automotive sales

You are responsible for ensuring that your use of the AI assistant complies with all applicable laws, including consumer protection regulations, privacy laws, and automotive industry standards. You must not configure the AI to provide false or misleading information about vehicles, pricing, or financing terms.

Customer Consent and Legal Compliance

Consent Responsibility: You acknowledge and agree that you are solely responsible for obtaining all necessary and lawful consents from customers who interact with your AI assistant. This includes providing clear notice that conversations are with an AI system and that customer information will be collected for lead management purposes.

Privacy Law Compliance: You must ensure that your use of Masna complies with all applicable privacy and consumer protection laws in your jurisdiction, including but not limited to GDPR (if serving EU customers), CCPA (California), PIPEDA (Canada), and any state or provincial consumer protection regulations.

Website Privacy Policy: You are responsible for maintaining an adequate privacy policy on your dealership website that discloses the use of AI chat technology, explains how customer information is collected and used, and provides customers with options to opt out or request data deletion.

Platform Limitation: Masna provides the technical platform for AI-powered customer engagement. We do not control the content of conversations, the accuracy of information provided by your AI assistant, or the business practices of your dealership. You are solely responsible for ensuring that all customer interactions comply with applicable laws and professional standards.

Indemnification: You agree to indemnify and hold Masna harmless from any claims, damages, lawsuits, or legal actions arising from your failure to obtain proper customer consent, violations of privacy laws, misrepresentation in AI conversations, or any other unlawful use of our platform.

Billing and Payment

Subscription Plans: Masna offers flexible subscription plans based on conversation volume, feature access, and support level. Current pricing is available on our website and in your dashboard. We reserve the right to modify pricing with 30 days' notice to existing customers.

Billing Cycle: Subscriptions are billed monthly or annually, depending on your selected plan. Annual plans receive a discount compared to monthly billing. Billing occurs automatically on your renewal date using the payment method on file.

Usage-Based Charges: Some plans include usage-based pricing for conversation volume exceeding your plan limits. Overage charges are calculated at the rates specified in your plan and billed in the following billing cycle. You can monitor your usage in real-time through your dashboard.

Payment Processing: All payments are processed securely through Stripe. Your payment card information is stored by Stripe according to PCI DSS standards and is not accessible to Masna. We do not store your complete card details on our servers.

Failed Payments: If payment fails, we will attempt to charge your card multiple times over a 10-day period. If payment remains unsuccessful, your account may be suspended until payment is received. You will receive email notifications about failed payments and account suspension.

Refund Policy: Monthly subscription fees are non-refundable. If you cancel mid-cycle, you will retain access until the end of your current billing period. Annual subscriptions may be eligible for pro-rated refunds within 30 days of initial purchase, minus any usage fees incurred.

Billing Disputes: If you believe there is an error in your billing, you must contact us within 30 days of the charge. We will investigate and, if an error is confirmed, issue a credit or refund as appropriate.

Free Trial and Promotional Offers

We may offer free trials or promotional discounts for new customers. Free trial terms, including duration and feature access, will be clearly stated at the time of sign-up. You must provide valid payment information to start a free trial, but you will not be charged until the trial period ends.

You may cancel your subscription at any time during the free trial to avoid charges. If you do not cancel before the trial ends, you will automatically be enrolled in a paid subscription at the current standard rate. Promotional offers are subject to specific terms and may not be combined with other discounts.

Service Availability and Performance

While we strive to maintain high availability and performance, we cannot guarantee 100% uptime or uninterrupted service. Our AI assistant and platform may be temporarily unavailable due to:

  • Scheduled maintenance and system updates
  • Technical issues with our infrastructure or third-party providers
  • Network connectivity problems beyond our control
  • Emergency security updates or patches

We will make reasonable efforts to notify you in advance of scheduled maintenance. For emergency downtime, we will work to restore service as quickly as possible and provide status updates through our website and email notifications.

AI conversation quality depends on multiple factors, including customer input clarity, complexity of questions, and accuracy of your dealership information. While our AI is highly advanced, it may occasionally provide inaccurate responses or fail to understand customer intent. You are responsible for monitoring AI performance and configuring appropriate escalation rules to ensure customer satisfaction.

AI Configuration and Customization

You have full control over your AI assistant's configuration through your dashboard. This includes setting conversation flows, defining lead qualification criteria, customizing response templates, configuring business hours and escalation rules, and integrating with your CRM and inventory systems.

You are responsible for ensuring that all configuration settings, custom responses, and information provided to the AI are accurate, compliant with advertising regulations, and appropriate for customer communication. Masna is not responsible for errors or misrepresentations resulting from incorrect configuration by your dealership.

We recommend regularly reviewing AI conversations and updating configuration as needed to maintain quality and accuracy. Our support team is available to assist with optimization and best practices.

Data Ownership and Portability

You retain full ownership of all customer conversation data, lead information, and dealership content generated through our platform. Masna does not claim ownership of your data and uses it solely to provide services as described in these Terms and our Privacy Policy.

You may export your conversation logs, lead data, and analytics at any time through your dashboard in standard formats (CSV, JSON). Upon account termination, we will provide a final data export and then securely delete your data according to our retention policies and legal requirements.

Masna may use aggregated, anonymized data (with all identifying information removed) for industry research, product improvement, and marketing purposes. This aggregated data cannot be traced back to your dealership or your customers.

Intellectual Property Rights

All Masna platform technology, including our AI models, algorithms, software code, user interface design, branding, and documentation, is owned by Masna and protected by copyright, trademark, patent, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to use our services in accordance with these Terms. You may not:

  • Copy, modify, or create derivative works of our platform or AI technology
  • Reverse engineer, decompile, or disassemble our software
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use our technology to build competing products or services
  • License, sell, rent, or transfer your account access to others

If you provide feedback, suggestions, or ideas for improving our platform, you grant us a perpetual, royalty-free license to use and incorporate such feedback into our services without compensation or attribution.

Limitation of Liability

Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied. To the fullest extent permitted by law, Masna disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost business opportunities, or data loss, arising from or related to your use of our services, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising from these Terms or your use of Masna services shall not exceed the amount you paid us in the twelve (12) months immediately preceding the claim, or $500 USD, whichever is greater.

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability for consequential damages, so these limitations may not apply to you. In such cases, our liability will be limited to the greatest extent permitted by applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless Masna, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use or misuse of our services; (b) your violation of these Terms; (c) your violation of any laws or regulations; (d) your violation of any third-party rights, including customer privacy rights; (e) any false or misleading information you provide to the AI or customers; or (f) any negligence or willful misconduct by you or your team members.

Force Majeure

Masna shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, government actions, power outages, internet service disruptions, or failures of third-party AI providers, payment processors, or cloud infrastructure services. In such events, our performance obligations will be suspended for the duration of the force majeure event.

Changes to Service and Features

We reserve the right to modify, enhance, or discontinue any features or aspects of our service at any time, with or without notice. We will make reasonable efforts to notify you of significant changes that may affect your use of the platform. Continued use of Masna after such changes constitutes your acceptance of the modified service. We are not liable for any modifications, suspensions, or discontinuations of the service or specific features.

Account Suspension and Termination

Termination by You: You may cancel your Masna subscription at any time through your dashboard settings. Cancellation takes effect at the end of your current billing period. You will retain access to your account and data until the subscription expires.

Termination by Masna: We may suspend or terminate your account immediately, without prior notice, if you: (a) violate these Terms or our Acceptable Use Policy; (b) engage in fraudulent activity or payment disputes; (c) use the service in a manner that poses security or legal risks; (d) fail to pay amounts due after multiple billing attempts; or (e) harass our staff or abuse our support services.

Effect of Termination: Upon termination of your account, you will immediately lose access to the Masna platform, your dashboard, and all associated data. We will provide you with a 30-day grace period to export your conversation logs and lead data before permanent deletion.

Data Deletion: After account termination and the 30-day grace period, we will securely delete all your dealership information, customer conversation data, and account details in accordance with our Privacy Policy, except where retention is required for legal, accounting, or regulatory compliance purposes.

Dispute Resolution and Arbitration

In the event of any dispute, controversy, or claim arising from or relating to these Terms or your use of Masna services, both parties agree to first attempt to resolve the matter through good faith negotiations. Either party may initiate negotiations by providing written notice to the other party describing the dispute.

If the dispute cannot be resolved through negotiations within thirty (30) days, either party may submit the dispute to binding arbitration administered by a recognized arbitration organization in accordance with its commercial arbitration rules. The arbitration shall be conducted by a single arbitrator, and the decision shall be final and binding on both parties.

Each party shall bear its own costs of arbitration, including attorneys' fees, unless the arbitrator determines otherwise. This arbitration agreement does not prevent either party from seeking injunctive relief in court to prevent immediate and irreparable harm.

Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of [Your State/Province] and the federal laws of [Your Country] applicable therein, without regard to conflict of law principles. Any legal action or proceeding arising from these Terms (excluding arbitration) shall be brought exclusively in the courts located in [Your Jurisdiction], and both parties consent to the personal jurisdiction of such courts.

Entire Agreement and Waiver

These Terms of Service, together with our Privacy Policy and any additional terms or policies referenced herein, constitute the entire agreement between you and Masna regarding your use of our services and supersede all prior agreements, understandings, and communications, whether written or oral.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Masna to be effective.

Assignment

You may not assign, transfer, or delegate these Terms or your account rights and obligations without our prior written consent. Any attempted assignment in violation of this provision shall be void. Masna may freely assign these Terms and transfer its rights and obligations, including in connection with a merger, acquisition, corporate reorganization, or sale of assets, without your consent.

Changes to These Terms

We reserve the right to modify these Terms of Service at any time to reflect changes in our services, legal requirements, or business practices. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this document
  • Send you an email notification at least 30 days before the changes take effect
  • Display a prominent notice in your dashboard
  • Provide a summary of significant changes

Your continued use of Masna services after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree with the modified Terms, you may terminate your account before the changes take effect. We encourage you to review these Terms periodically to stay informed of any updates.
